• Exchange between Virtual Currencies and Fiat Currencies: Services facilitating the exchange of virtual currencies for fiat currencies (such as PLN, EUR) and vice versa, in compliance with Polish regulatory standards.
• Exchange between Virtual Currencies: Enabling transactions between different types of virtual currencies in accordance with Polish VASP regulations.
• Intermediary Services for Exchanges: Acting as an intermediary to facilitate exchanges involving virtual and fiat currencies or exchanges between virtual currencies, in compliance with Polish AML and CFT obligations.
• Account Management Services: Providing account management services as described in Art. 2, point 17, lit. e, including activities associated with virtual currency accounts, transaction monitoring, and reporting, in alignment with Polish VASP requirements.

"User," "you," or "your" refers to any person or entity who accesses or uses our Services.

2. Compliance with Polish and EU VASP Regulations

Nordhouse OÜ operates in full compliance with Polish and EU VASP regulations, specifically regarding Anti-Money Laundering (AML) and Countering the Financing of Terrorism (CFT). Users may be required to provide personal information for identity verification purposes, in line with these regulatory standards.

By using our Services, you acknowledge that you understand and agree to these compliance measures, which may include but are not limited to KYC (Know Your Customer) requirements, transaction monitoring, and reporting of suspicious activities.

4. Eligibility

5. Scope of Services

Nordhouse OÜ provides the following services in compliance with Polish VASP regulations:

• Exchange between Virtual Currencies and Fiat Currencies: Assisting users in converting virtual currencies to fiat currencies (such as PLN, EUR) and vice versa, subject to regulatory reporting and compliance.
• Exchange between Virtual Currencies: Enabling transactions between different types of virtual currencies.
• Intermediary Services for Exchanges: Acting as an intermediary to facilitate exchanges involving virtual and fiat currencies, as well as exchanges between virtual currencies.
• Account Management Services: Providing account management services as outlined in Art. 2, point 17, lit. e, which includes maintaining virtual currency accounts, transaction processing, and related activities in compliance with applicable AML and CFT regulations.

6. User Responsibilities

6.1. Account Creation:To use certain parts of our Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6.2. Compliance Obligations:Users agree to provide accurate information for identity verification and comply with Polish and EU AML and CFT requirements, including:

• Providing documents for identity verification.
• Reporting any suspicious activities or transactions that may violate these Terms or applicable laws.

6.3. Prohibited Activities:You agree not to use our Services for any illegal, harmful, or unauthorised activities, including but not limited to:

• Violating any local, state, national, or international law, including Polish AML and CFT laws.
• Attempting to interfere with the functionality of our website or Services.
• Engaging in fraudulent or deceptive practices.

7. Fees and Payment

7.1. Service Fees:Certain Services may be subject to fees as outlined on our website or in your service agreement.

7.2. Payment Terms:Payment for Services is due as specified in your agreement with Nordhouse OÜ. Late payments may incur additional fees as stated in your agreement.

8.1. Ownership:All intellectual property rights related to the Services, including but not limited to software, trademarks, and content, are owned by Nordhouse OÜ or its licensors. Nothing in these Terms grants you any ownership rights to the intellectual property of Nordhouse OÜ.

8.2. Licence:Subject to your compliance with these Terms, Nordhouse OÜ grants you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes.

9.1. Confidential Information:You agree not to disclose any confidential information you receive from Nordhouse OÜ without our prior written consent.

10. Disclaimer of Warranties

10.2. Nordhouse OÜ does not warrant that the Services will be error-free, uninterrupted, or secure, or that any defects will be corrected.

11. Limitation of Liability

To the fullest extent permitted by law, Nordhouse OÜ shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the Services; (ii) any unauthorised access to or use of our servers and/or any personal information stored therein.

13.1. Governing Law:These Terms are governed by and construed in accordance with Polish law, as well as applicable EU regulations concerning virtual asset services and AML/CFT compliance.

13.2. Dispute Resolution:In the event of a dispute arising from these Terms, both parties agree to attempt to resolve the matter through negotiation. If the dispute cannot be resolved, it shall be submitted to the jurisdiction of Polish courts.

14. Right of Withdrawal
